# CortexHive — Terms of Service **Effective Date:** June 30, 2026 **Last Updated:** June 30, 2026 --- ## 1. Acceptance of Terms By creating an account or using CortexHive ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you don't agree, don't use the Service. These Terms form a binding agreement between you and Madero Films operating as CortexHive ("we," "us," or "our"). "You" means the individual or entity using the Service. If you're using CortexHive on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms. --- ## 2. Description of Service CortexHive is an AI agent platform that lets you create, configure, and run autonomous AI agents. These agents can: - Browse the web and retrieve information - Read and write files within a sandboxed workspace - Execute shell commands within a sandboxed environment - Schedule and run automated tasks - Use third-party tools and integrations you connect CortexHive is currently in **free beta**. Features, availability, and these Terms may change as we build. The Service is not intended for children under 18. By using CortexHive, you confirm you are at least 18 years old. --- ## 3. User Accounts ### 3.1 Account Creation You need an account to use CortexHive. When you sign up, you agree to provide accurate and current information. Don't impersonate another person or create an account on behalf of someone else without their permission. ### 3.2 Account Security You are responsible for: - Keeping your password and login credentials secure - All activity that occurs under your account - Logging out when using shared devices If you suspect unauthorized access to your account, notify us immediately at hello@cortexhive.app. We are not liable for losses resulting from unauthorized account use if you failed to keep your credentials secure. ### 3.3 Account Termination You can delete your account at any time. We may suspend or terminate your account if you: - Violate these Terms - Use the Service in a way that creates legal risk or harms other users - Haven't used the account in over 12 months and we're unable to reach you We'll try to give you reasonable notice before terminating your account unless the violation is severe enough that immediate action is required. Upon termination, your right to use the Service ends. --- ## 4. Acceptable Use ### 4.1 What You Can Do You may use CortexHive for any lawful purpose — personal projects, business automation, research, development, and experimentation. ### 4.2 What You Cannot Do You agree not to use CortexHive to: - Violate any law or regulation, including laws in your jurisdiction - Harass, threaten, or harm any person - Generate, store, or distribute illegal content, including content that sexually exploits minors - Conduct unauthorized access or attacks against computer systems, networks, or services - Spread malware, ransomware, or any malicious code - Spam, phish, or conduct fraud - Scrape websites in violation of their terms of service - Infringe on intellectual property rights — copyright, trademark, trade secrets - Circumvent security controls, access restrictions, or sandboxing within the platform - Interfere with the Service's infrastructure or other users' access - Resell or sublicense access to the Service without our written permission We reserve the right to investigate potential violations and to remove content or suspend accounts without prior notice when necessary to protect users or the platform. --- ## 5. API Keys and Third-Party Services (BYOK) ### 5.1 Bring Your Own Key CortexHive uses a Bring Your Own Key (BYOK) model. To run AI agents, you must supply your own API key from Anthropic (or any other AI provider we support). You obtain these keys directly from the provider and pay those costs directly. ### 5.2 Your Responsibility for API Keys You are solely responsible for: - Securing your API keys — treat them like passwords - All API usage and costs incurred under your keys - Complying with the terms of service of the AI providers whose keys you use - Any consequences of your key being compromised Do not share your API keys with other users or embed them in publicly accessible places. If your key is compromised, revoke it immediately at the source (e.g., Anthropic's dashboard). ### 5.3 We Are Not Responsible for Provider Costs We do not charge you for AI token usage. However, your agents may consume substantial API credits depending on how they're configured. Monitor your provider billing dashboards. We have no control over and take no responsibility for costs you incur with third-party AI providers. ### 5.4 Third-Party Services CortexHive may integrate with third-party tools and services. Your use of those services is subject to their own terms and policies. We are not responsible for how those services perform or how they handle your data. --- ## 6. User Data and Content ### 6.1 You Own Your Content Any content you create, upload, or generate through the Service — including agent configurations, files in your workspace, task schedules, and outputs — is yours. We claim no ownership over your content. ### 6.2 License to Provide the Service By using CortexHive, you grant us a limited, non-exclusive, royalty-free license to store, process, and transmit your content solely as needed to operate the Service and provide it to you. We don't use your content to train AI models or sell it to third parties. ### 6.3 Data Deletion When you delete content or your account, we remove it from active storage. Some data may remain in backups for up to 90 days before being permanently deleted. ### 6.4 Content You're Responsible For You are responsible for the content your agents access, generate, and act on. Don't use CortexHive to handle sensitive personal data (medical records, financial data, Social Security numbers, etc.) unless you've independently confirmed the platform is appropriate for that use case. During beta, we make no guarantees about compliance with HIPAA, GDPR, PCI-DSS, or similar frameworks. --- ## 7. Agent Behavior and AI Limitations ### 7.1 Agents Are Autonomous — Review Their Work AI agents can take real actions: they can browse websites, create and delete files, run commands, and interact with external services. **You are responsible for reviewing what your agents do before, during, and after they run.** ### 7.2 AI Outputs May Be Wrong AI-generated content is probabilistic. Agents may produce inaccurate, incomplete, or outdated information, or take unexpected actions when given broad autonomy. Do not rely on agent outputs for critical decisions — medical, legal, financial, safety-related — without independent verification from qualified professionals. ### 7.3 Irreversible Actions Some agent actions cannot be undone — deleting files, sending emails, submitting forms, making API calls. Review your agent configurations and permissions carefully before enabling autonomous execution. --- ## 8. No Warranties **The Service is provided "as is" and "as available."** To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. This is a beta product — expect bugs, downtime, and changes. --- ## 9. Limitation of Liability 9.1 We will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service — including lost profits, data loss, or business interruption. 9.2 Our total aggregate liability to you for any claims is **capped at $100 USD**. 9.3 Some jurisdictions do not allow limitation of certain damages. In those jurisdictions, our liability is limited to the minimum extent permitted by law. --- ## 10. Governing Law and Disputes These Terms are governed by the laws of the **State of California**. Any disputes will be resolved in the state or federal courts located in **Los Angeles County, California**. Before filing any claim, contact us at hello@cortexhive.app and give us 30 days to resolve the issue informally. --- ## 11. Changes to These Terms We may update these Terms from time to time. We'll update the "Last Updated" date at the top and, for material changes, notify you by email at least 14 days before they take effect. Your continued use of the Service after the effective date means you accept the new Terms. --- ## 12.
